Does WAM offer liquidity in the private secondary market?
Liquidity remains one of the primary challenges in alternative investments. The WAM platform will address this challenge by connecting buyers and sellers of private market positions across venture capital, private equity, and fund interests and facilitating liquidity opportunities for eligible investors. WAM expects to work with private companies to help facilitate secondary transactions and broaden liquidity options for investors, founders, and early employees, subject to applicable regulatory requirements and market conditions. Once available, this capability is intended to complement WAM's primary investment platform by providing members with additional tools to manage their private market portfolios.
How do I become a WAM member?
The onboarding process is straightforward. First, visit the WAM website at www.WolfeWAM.com and complete an investor questionnaire, which is fully digital. Next, schedule a brief introductory call with the WAM team and participate in an onboarding session with a dedicated team member. You will then gain access to your dashboard, deal pipeline, and diligence materials, and can begin reviewing opportunities at your own pace.
What are the eligibility requirements to join WAM?
Access to WAM's platform and investment opportunities is subject to applicable investor eligibility requirements. Prospective members will complete a Know Your Customer process and applicable investor eligibility certifications as part of onboarding. Membership is available only to investors who satisfy the applicable eligibility requirements for the opportunities made available through the platform. Is there a membership fee?
Yes. WAM charges an annual membership fee for platform access, which includes access to WAM's deal pipeline, comprehensive diligence packages, ongoing investment reporting, and conference and event access. Specific fee details are available upon inquiry. Certain investments and other services may be subject to additional fees, which will be separately disclosed in the applicable offering, transaction, or other relevant documents.
What types of investments does WAM offer?
WAM provides access to opportunities across four primary areas: venture capital, private equity, private secondaries, and fund investments (access to established managers across venture, private equity, hedge funds, and real estate).
Am I required to invest in every deal?
No. WAM operates on a deal-by-deal basis with no blind pools and no mandatory commitments. Members review each opportunity and, at their own discretion, may submit an indication of interest to subscribe for interests in the applicable vehicle, subject to applicable investor eligibility requirements, offering terms, and allocation decisions.
How are investments structured?
Each investment is structured in a dedicated Special Purpose Vehicle (SPV). WAM invests alongside platform members in every transaction, helping align WAM's economic interests with those of platform members. Members receive ongoing investment reporting, periodic updates and K-1 delivery where applicable.
What sectors does WAM focus on?
WAM maintains a broad investment mandate across venture capital, private equity, private secondaries, and fund investments, enabling us to evaluate investment opportunities across a broad range of industries and market segments. We do not limit ourselves to specific sectors; rather, we leverage our relationship-driven sourcing network and disciplined due diligence process to identify and evaluate compelling investment opportunities wherever they arise. Geographically, our primary focus is the United States, with selective exposure to international opportunities on a case-by-case basis.
What is WAM's investment horizon?
WAM targets companies that we believe have identifiable potential exit pathways, whether strategic sale, PE re-trade, or IPO. Alternative investments are generally long-term in nature, and liquidity may be limited prior to an exit event or other realization.
Does WAM invest in every transaction?
WAM invests alongside its platform members in every transaction, aligning our economic interests with those of our investors.
Is there a minimum commitment?
WAM operates on a deal-by-deal basis with no mandatory commitments and no blind pools. Members review each opportunity and, at their own discretion, may submit an indication of interest to subscribe for interests in the applicable vehicle, subject to applicable investor eligibility requirements, offering terms, and allocation decisions. Each transaction carries its own minimum investment size, which will be disclosed in the applicable offering documents.
Can I invest through an IRA?
Not at this time. WAM does not currently accept investments through IRAs. This may change in the future, and we encourage you to check back or contact us for updates. If you have questions about your specific situation, we recommend consulting your tax or legal advisor.
Can WAM work with Institutional and Family Office clients to customize solutions or investment opportunities?
Yes. WAM works with institutional investors and family offices on a variety of strategic investment and capital markets initiatives. These relationships may include collaborative investment opportunities, co-investments, fund introductions, capital formation activities, secondary transactions, and other customized arrangements, depending on the objectives of the parties and the nature of the opportunity.
Where investments are made through WAM sponsored vehicles, WAM serves as investment advisor to the applicable vehicle and is responsible for investment sourcing, due diligence, transaction execution, and ongoing vehicle administration, books, records, and reporting, while institutional investors and family offices independently determine whether to participate in any investment opportunity. WAM may invest its own capital alongside investors in sponsored transactions.
How does WAM evaluate investment opportunities?
WAM employs a multi-layered due diligence process covering: an initial screen of business fundamentals, market size, and competitive position; financial analysis of historical performance, projections, key operating metrics, and unit economics where applicable; management diligence; and legal and structural review. Members receive a detailed investment memorandum and supporting diligence materials for each opportunity. The scope and depth of diligence may vary depending on the nature of the investment opportunity and applicable circumstances.
How does WAM source investment opportunities?
WAM's sourcing ecosystem includes Wolfe's network of 1,200+ institutional clients and 45,000+ individual Wolfe Research platform users; relationship-driven introductions from the Wolfe Research and WAM relationship network; strategic partnerships with investment banks, placement agents, and VC/PE funds; secondary market opportunities from shareholders, founders, and employees; the WAM investment team's established industry relationships; and active participation in conferences and events across the private markets ecosystem.
What reporting do members receive?
Members receive regular valuation updates, ongoing portfolio reporting, and K-1 delivery where applicable, throughout the investment lifecycle. WAM provides ongoing reporting designed to keep members informed about their investments from closing through exit.
What fees does WAM charge?
Fees associated with the WAM platform and related investment opportunities may include an Annual Membership Fee, which provides access to the platform and associated member benefits, including access to private market investment opportunities, due diligence materials, reporting, and events; investment management fees and performance-based compensation, including carried interest, applicable to investments made through WAM-sponsored vehicles, as disclosed on a deal-by-deal basis in the relevant offering documents; and transaction-based fees, commissions, or placement fees associated with certain secondary transactions or placement activities, as disclosed in the applicable transaction documentation.
Are fees disclosed before I invest?
Yes. Fees applicable to each investment are disclosed in the associated offering documents prior to closing. WAM provides clear disclosure of applicable fees and compensation arrangements in the relevant offering and transaction documents.
How does WAM address the liquidity challenge in private markets?
WAM's platform includes a secondary market capability designed to facilitate secondary transactions by connecting buyers and sellers of private market interests across venture capital, private equity, and fund investments. WAM also works with private companies to facilitate liquidity opportunities for founders, early employees, and existing investors through structured secondary transactions, subject to applicable offering terms, transfer restrictions, regulatory requirements, and market conditions.
How are capital calls handled?
Investors will fund their allocated interests in accordance with the terms of the applicable vehicle documents and subscription materials, including amounts required for investments, expenses, and fees. WAM will seek to provide investors with reasonable notice and sufficient time to complete funding, but funding requirements and timing may vary depending on the terms of the applicable vehicle and the nature of the underlying investment opportunity.
How are distributions handled?
Cash proceeds received by the vehicle will generally be distributed to investors by wire transfer in accordance with the applicable vehicle documents, subject to applicable reserves, expenses, and allocation provisions. Where appropriate and permitted by the applicable vehicle governing documents, distributions may also be made in kind through the distribution of portfolio securities or other assets. WAM will seek to facilitate distributions in a timely manner following receipt of distributable proceeds; however, the timing, form, and terms of distributions will vary depending on the governing documents of the vehicle and the nature of the underlying investment.
When will I receive a statement showing the value of my investments?
Through the My Portfolio page, WAM members gain access to the latest available information regarding their WAM portfolio. WAM provides quarterly updates for each vehicle summarizing key financial information and developments related to the underlying investment.
How are my investments valued?
Investments on the WAM platform are valued in accordance with applicable valuation policies and procedures, which may include third-party valuation analyses where appropriate. WAM's Valuation Committee reviews valuation information and material developments on a quarterly basis to assess whether updates to valuation assumptions, methodologies, or reported values may be appropriate.
Are the vehicle financials audited?
Yes. WAM engages an independent audit firm to provide audited financial statements for each vehicle in accordance with the timing and requirements set forth in the applicable vehicle governing documents.
What kind of tax reporting will I receive?
WAM engages an independent tax advisor to prepare and deliver K-1s to all investors in accordance with applicable tax reporting timelines.
